TERMS AND CONDITIONS 1. Participation in the Competition (a) By participating in the Competition, the Participant agrees to these Terms and Conditions. (b) The terms and conditions found on the Entry Form also form part of these Terms and Conditions. (c) If there are any inconsistencies between the terms and conditions found on the Entry Form and these Terms and Conditions, then these Terms and Conditions will prevail. 2. Competition Period (a) Subject to clause 2(b), the Competition will commence on the Commencement Date, and will close on the earlier of the following: (i) Immediately following receipt of twenty Eligible Entries. (ii) 4.00pm Australian Eastern Standard Time on Tuesday, 12 December 2017. (b) If the Promoter does not receive twenty Eligible Entries by the date noted in clause 2(a)(ii), then despite clause 2(a), the Promoter may at its sole and absolute discretion— (i) extend the closing date of the Competition by six months from the date noted in clause 2(a)(ii) (ii) draw the Prize in accordance with clause 4, or (iii) cancel the Competition without drawing the Prize and provide each Participant with a $5,000 cash payment. 3. Eligibility 3.1 Eligibility To participate in the Competition, the Participant must, during the Competition Period, be an Eligible Person and— (a) submit an executed Contract to the Promoter or the Promoter’s solicitor and be bound by the Contract (b) submit an Eligible Entry, and (c) effect settlement of the Contract in accordance with its terms before the Close Date. Terms and Conditions 3438-2855-9622, v. 103438- 2855-9622, v. 10 Page 2 3.2 Eligible Entry (a) To enter the Competition the Eligible Person must complete the Entry Form and provide the completed Entry Form to the Promoter prior to the Close Date. (b) The Eligible Person must only complete, and the Promoter will only accept, one Entry Form for each Apartment the Eligible Person purchases. (c) Only complete Entry Forms received by the Promoter prior to the Close Date will be entered into the Competition, and incomplete, indecipherable or illegible entries will be deemed invalid and will not be Eligible Entries. (d) The Promoter reserves the right, at any time, to verify the eligibility of any Participant (including a Participant’s identity, age and place of residence) and to disqualify any Participant who— (i) is not an Eligible Person (ii) does not comply with these Terms and Conditions, or (iii) the Promoter considers has tampered with the entry process. (e) If requested by the Promoter, a Participant must provide the Promoter with any evidence of eligibility it requires to confirm— (i) the Participant is an Eligible Person, and (ii) the Participant’s entry is an Eligible Entry. (f) The Participant, or a representative of the Participant, must be available and present for the Draw in order to be eligible to claim the Prize. For the avoidance of doubt, if a Participant or the Participant’s representative is not present at the Draw, then they will be disqualified from the Competition and their entries will not be Eligible Entries. 4. The Draw 4.1 Draw Date (a) Subject to clause 2(b)(iii), the Prize will be drawn on the Draw Date. (b) The Promoter will include the details of the Draw Date on its website, www.gemstonestonescorner.com.au. 4.2 The Draw (a) The first Eligible Entry drawn at random by the Promoter on the Draw Date will win the Prize. (b) If, despite reasonable efforts, the Promoter is unable to locate the Participant whose Eligible Entry was drawn pursuant to clause 4.2(a) within two minutes Terms and Conditions 3438-2855-9622, v. 103438- 2855-9622, v. 10 Page 3 of the Draw Date, then another Eligible Entry will be drawn at random by the Promoter on the Draw Date following the passing of the two minute period. (c) The first Eligible Entry re-drawn at random in accordance with clause 4.2(b) will win the Prize. (d) Once the Promoter redraws another Eligible Entry, the previously drawn Eligible Entry is disqualified from the Competition. (e) This process will continue until a Participant whose Eligible Entry is drawn in accordance with clause 4.2(b) is located. (f) A Participant claiming to be the Prize winner pursuant to this clause 4 will be required to provide proof of identity. (g) The Promoter’s decision as to the winner of a Prize is final and binding and no correspondence will be entered into in relation to the conduct of the Competition or otherwise. (h) The Promoter may, but is not obliged to, publish the results of the Competition. By participating in the Competition, the Participant gives their consent for their personal details to be published on the Promoter’s website and social media platforms if they are the winner of the Prize. 5. The Prize (a) There will be one Prize offered for this Competition, and only one Participant may win the Prize. The Prize is a brand new MY18 Porsche Macan S Diesel in white paint with a black-luxor beige two tone interior.. (b) The Prize is not transferable or exchangeable and cannot be taken as cash, unless otherwise specified. (c) Title to, property in and risk in relation to the Prize passes to the winner of the Prize— (i) where the Prize winner is selected pursuant to clause 4.2(a), on and from the Draw Date, and (ii) where the Prize winner is selected pursuant to clause 4.2(b), on and from the date of the re-draw. (d) The Prize winner is responsible for transporting the Prize from the place of the Draw immediately following the Draw pursuant to clause 4. Privacy 6.1 Privacy of the Participants (a) The Promoter will collect, use, disclose and hold personal information in relation to the Participants as part of the operation of the Competition and in relation to the Contract. (b) Participants are not required to provide the Promoter with their personal information, but if a Participant does not do so, then the Participant will not be able to enter the Competition. (c) By entering the Competition, the Participant consents to the collection, use and disclosure of his or her personal information in the manner outlined in these Terms and Conditions. 6.2 Kind of personal information collected and held If a Participant chooses to enter or take part in the Competition, then the Participant will be required to provide the Promoter with personal information about themselves, including the Participant’s full name, address, telephone number and email address, and the information included in or related to the Contract. 6.3 How the Promoter collects and holds personal information Unless it is unreasonable or impractical for the Promoter to do so, it will collect the Participant’s personal information from the Participant directly, including— (a) from the Participant filling out the entry form (b) from documentation or communications related to the Contract (c) from communications between the Participant and the Promoter’s officers, employees and representatives (including communications conducted in person, over the phone, by email or otherwise), and (d) from promotional and marketing activities undertaken by the Promoter, in which the Promoter requests or otherwise receives personal information from the Participant (such as from other competitions organised by the Promoter). 6.4 Purposes for which the Promoter collects, holds, uses and discloses personal information (a) The Promoter will only use and disclose the personal information which the Participant has provided for the following purposes: (i) All activities related to the execution and settlement of the Contract. (ii) Operating the Competition in accordance with these Terms and Conditions. Terms and Conditions 3438-2855-9622, v. 103438- 2855-9622, v. 10 Page 5 (iii) Carrying out marketing and promotions activities including, without limitation, sending newsletters or publications and/or other marketing and promotional material to the Participant about future competitions or promotional events (which may be undertaken by the Promoter or any other person or organisation to which the Promoter discloses the personal information (including contractors) for the purposes of assisting the Promoter to do conduct marketing activities). These communications may be sent in various forms, including mail, fax and email. At any time the Participant may opt-out of receiving marketing communications from the Promoter by contacting the Promoter through the following email address: jeffrey@gemstonestonescorner.com.au. (iv) For use in any media, including the Promoter’s website and social media platforms, for an unlimited period of time without remuneration to the Participant for the purposes of promotion, publicity and marketing as determined by the Promoter. (b) The Promoter may also disclose the personal information of the Participant to others if required to by law. (c) The Promoter will not sell the personal information of the Participants, nor will the Promoter provide the personal information to third parties unrelated to the purposes in clauses 6.4(a) and 6.4(b). 6.5 Access and correction of personal information held by the Promoter (a) A Participant has the right to access, in most circumstances, personal information, which the Promoter holds about the Participant. (b) If a Participant considers personal information the Promoter holds about the Participant is inaccurate or if at any time the Participant’s details change, the Participant may contact the Promoter through the following email address, and the Promoter will take reasonable steps to ensure that such personal information is corrected: jeffrey@gemstonestonescorner.com.au. 6.6 Concerns regarding use, disclosure or holding of personal information If a Participant would prefer the Promoter not use or disclose the Participant’s personal information in the way outlined in these Terms and Conditions and/or retain their personal information for the purposes described in this clause 6, the Participant should contact the Promoter through the following email address: jeffrey@gemstonestonescorner.com.au. 7. Indemnification and limitation of liability (a) Each Participant indemnifies and keeps indemnified the Promoter— (i) against all claims, losses, damages, costs and expenses suffered or incurred by the Promoter or any third parties arising out of the breach of these Terms and Conditions by the Participant, the conduct of the Participant in the Competition or the use of a Prize by the Participant, and (ii) for any act, omission, negligence, breach of law or default of the Participant. (b) The Promoter will not be liable for the following (including, without limitation, in negligence): (i) Any loss or damage whatsoever that is suffered (including, but not limited to, indirect or consequential loss). (ii) Any personal injury or harm, including loss of life, suffered or sustained during the course of participating in this Competition or using a Prize, except for and to the extent that any liability cannot be excluded by law. (iii) Any variation in the value of the Prize. 9. General provisions (a) All Entry Forms are the property of the Promoter. (b) The Prize winner consents to the Promoter using their name, likeness, image and voice for an unlimited period and without remuneration for marketing and publicity use, if requested by the Promoter. (c) The Participant acknowledges it has not relied upon any representation made by the Promoter which has not been expressly stated in these Terms and Conditions. (d) Entry into the promotion is deemed acceptance of these Terms and Conditions. (e) The Promoter reserves the right to refuse Prize redemption to any Participant who does not comply with these Terms and Conditions. 10. Variations (a) These terms and conditions may be varied by the Promoter in its discretion from time to time. (b) Any changes to these terms and conditions will be posted on the Promoter’s website, www.gemstonestonescorner.com.au. Terms and Conditions 3438-2855-9622, v. 103438- 2855-9622, v. 10 Page 7 11. Waiver The non-exercise of or delay in exercising a right of the Promoter will not operate as a waiver of that right, nor does a single exercise of a right preclude another exercise of it or the exercise of other rights. 12. Uncontrolled Events (a) To the extent permitted by law, if the Promoter is prevented from performing its duties in relation to the Competition due to the occurrence of an Uncontrolled Event, then— (i) the Promotor may disqualify any Participant, or modify, suspend, terminate or cancel the Competition without drawing the Prize, and (ii) the Promoter is not liable to the Participants for any loss or damage suffered. (b) The Promoter’s decision is final and no correspondence will be entered into. Close Date 4.00pm Australian Eastern Standard Time on the date the Competition is closed for further entries, as determined in accordance with clause 2(a) or clause 2(b)(i). Commencement Date 9.00am Australian Eastern Standard Time on 11 November 2017. Competition The opportunity to go into the draw to win the Prize in accordance with the Terms and Conditions. Competition Period The period from the Commencement Date until the Close Date (inclusive). Contract The Promotor’s standard unconditional contract of sale for a lot in the in the Gemstone – Stones Corner Community Title Scheme. Draw The draw for the Prize, which will be held on the Draw Date. Draw Date 2.00pm Australian Eastern Standard Time on the date which is four days following the Close Date, or such other time as determined by the Promoter from time to time. Eligible Entry An entry submitted for the Competition by an Eligible Person which satisfies the requirements in clause 3.2. Eligible Person An individual or company who— (a) if any individual, is a resident of Queensland (b) if a company, is a company with its registered office in Queensland (c) if an individual, is 18 years of age or older (d) is not a Non-Eligible Person (e) submit an executed Contract to the Promoter or the Promoter’s solicitor and be bound by the Contract (f) effect settlement of the Contract in accordance with its terms before the Close Date, and (g) settles the purchase of the Apartment before the Close Date. Entry Form The form provided by the Promoter in relation to entry in the Competition. (b) The employees or contractors of the persons and entities in paragraph (a). (c) Any spouse, child, de facto or any other person living at the same premises as any of the persons mentioned in paragraphs (a) or (b). Participant Any person who is an Eligible Person who participates in the Competition by submitting at least one Eligible Entry. Terms and Conditions These terms and conditions, including all of its annexures and schedules. Uncontrolled Event An act of God, strike, lock out or other interference with work, war declared or undeclared, blockage, disturbance, lightning, fire, drought, earthquake, storm, flood, explosion, government or quasigovernment restraint, exploration, prohibition intervention, direction, or embargo, unavailability or delay in availability of equipment or transport, inability or delay in obtaining governmental or quasi-governmental approvals, consents, permits, licences, authorities or allocations, or any other cause whether of the kind specifically set out above or otherwise which is not reasonably within the control of the party relying on the Uncontrolled Event.
